Seller's Terms and Conditions

1. Introduction

1.1 These Seller's Terms and Conditions (hereinafter referred to as "Terms") govern your use of the marketplace platform (hereinafter referred to as "Platform") provided by GROWcoin Ltd hereinafter referred to as "We" or "Us"
1.2 By using the Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use the Platform.

2. Seller Account

2.1 To become a seller on the Platform, you must create a seller account by providing accurate and complete information.
2.2 You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use or breach of security.

3. Product Listings and Descriptions

3.1 As a seller, you must provide accurate, detailed, and truthful product listings, including but not limited to, title, description, images, pricing, and shipping information.
3.2 You may not list or sell any prohibited, counterfeit, infringing, or illegal products.
3.3 You understand and acknowledge that the images and content of your product listings may be used by the Platform for promotional purposes.

4. Transaction Processing and Fees

4.1 When a customer purchases a product from you through the Platform, you agree to fulfill the order promptly and in accordance with the stated shipping and handling timeframes.
4.2 For each successful transaction, you will be charged a transaction fee based on the final sale price of the item, as outlined in our Fee Schedule.
4.3 It is your responsibility to accurately calculate and collect any applicable taxes or other fees associated with the sale of your products.

5. Communication with Buyers

5.1 You agree to maintain professional and polite communication with buyers regarding their orders, inquiries, and any potential issues or complaints.
5.2 Any communication initiated through the Platform's messaging system must be conducted in accordance with our Code of Conduct and policies.

6. Intellectual Property Rights

6.1 You represent and warrant that you own or have the necessary rights to use, reproduce, distribute, and display any intellectual property (including images, trademarks, logos, or designs) provided by you in connection with your product listings.
6.2 You grant the Platform a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, and display your intellectual property solely for the purpose of promoting your products on the Platform.

7. Limitation of Liability

7.1 To the extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of the Platform.
7.2 We make no warranties or representations regarding the accuracy, reliability, or completeness of any content or information provided on the Platform.

8. Termination

8.1 We reserve the right to suspend or terminate your seller account and remove any product listings, at our sole discretion, if we believe you have violated these Terms or any applicable laws or regulations.
8.2 You may terminate your seller account at any time by 'De - Activating' it.

9. Miscellaneous

9.1 These Terms constitute the entire agreement between you and us regarding your use of the Platform and supersede any prior agreements or understandings.
9.2 These Terms shall be governed by and construed in accordance with the laws of England and Wales and any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts.
9.3 If any provision of these Terms is found to be invalid or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
